BACKGROUND: 

On November 19, 2024, the Board approved the selection of, and authorized the General Manager to negotiate an agreement for Flow Monitor Services with, ADS LLC dba ADS Environmental Services. Under the agreement, ADS is to provide flow monitor services that includes the installation, maintenance, and operation of metering equipment (continuous flow monitoring instrumentation, sensors and software), primarily at large diameter interceptors throughout the District's unincorporated Clark County service area.

Negotiations are complete, and staff is requesting authorization to execute a services agreement with ADS LLC dba ADS Environmental Services.

The following are pertinent provisions of the contract:

• The initial term of the contract is from May 1, 2025, through April 30, 2028;
• The contract includes the option to renew for two (2) additional one-year periods;
• The contract includes the option to terminate or suspend for cause or convenience with advance written notice of intent.

In accordance with NRS 332.115(1)(b), the competitive bidding process is not required as the services to be performed are professional in nature, but pursuant to internal procedures, the District solicited these services through a competitive request for proposal process. ADS LLC dba ADS Environmental Services currently holds a Clark County business license.

This agenda item has been reviewed and approved by the District General Counsel.
