BACKGROUND:

Switch, Ltd., a Nevada limited liability company ("Switch"), desires to construct, maintain, operate, modify, and repair private sewer improvements located on Clark County-owned property on Badura Avenue between Lindell Road and Corporate Plaza Drive.  The County desires to grant Switch access and permission to construct, maintain, operate, modify, and repair these improvements due to the benefits the Switch Campus will provide in the Las Vegas Metropolitan Area.

The attached license and maintenance agreement, subject to terms and conditions, allows Switch, Ltd. to occupy the County's right-of-way on Badura Avenue between Lindell Road and Corporate Plaza Drive.  Switch, Ltd. assumes all costs for improvements, including maintenance, and said improvements shall not interfere with the installation, maintenance or use of the street lighting system, traffic signal systems, fiber optic, water pipes, drains, sewers or the flow of water therein, the Board of County Commissioners ("Board") or any other related entity or district hereafter created for any governmental purpose.

Switch, Ltd. currently holds a Clark County Business License.

The District Attorney's Office has reviewed and approved the agreement as to form.
