BACKGROUND:
On July 6, 2004, the Board of County Commissioners (Board) approved the award of RFP No. 5459-03 for Enterprise Resource Planning (ERP) to SAP Public Services, Inc. (LBE) in the amount of $23,361,953 for ERP Financial, HR/Payroll, E-Learning Services, deployment and integration of Kronos Timekeeping System, and Customer Relationship Management (CRM) System that allows for sharing of master and transactional data, the streamlining of business processes, employee and manager self-services, and improves responsiveness to customers.
The following are the pertinent provisions of the Contract:
• The term of the Contract was from July 6, 2004, and included the option to pay for software maintenance each year that County uses the software.
• Included the County’s option to terminate for cause, convenience or default and suspend the Contract with advanced written notice.
Amendment No. 1 added appendices 6 through 8 for changes in licensing.
Amendment No. 2 changed appendices 1 and 6 for changes in licensing.
Amendment No. 3 modified appendix 8, added appendices 9, 10, and 11 for changes in licensing and procuring additional software.
Amendment No. 4 revised appendix 10 and added appendix 12 for changes in licensing and procuring additional software.
Amendment No. 5 added appendix 13 to provide additional training.
Amendment No. 6 added appendices 14 and 15 for additional software, training and professional services.
Amendment No. 7 added appendix 16 for additional software.
Amendment No. 8 added appendix 17 for procuring additional software and appendix 18 for adding Success Factor Learning Plus Bundle.
Amendment No. 9 amended appendices 2, 11, 17 and 18, added appendices 19, 20 and 21 by adding BSI Premium Support for BSI software, adjusting the support base for software licensed under Appendix 17, increased the usage matrix for the Learning Plus bundles, added Workforce Performance Builder Manager, SAP Workforce Performance Builder Enterprise Edition and SAP Integration for Service Manager Mobile App software, added SAP Document Access by Open Text and SAP Invoice Management, and added certain SAP Cloud Services.
Amendment No. 10 amended appendix 18 (second amendment to appendix 18) increasing the subscription for hosted Success Factors software which provides self service employee policy and procedure tracking, and learning certification tracking for compliance and development training. Amendment 10 amended appendix 21 adding additional test tenants and related storage.
Amendment No. 11 added appendix 22, which added the following software, SAP Process Orchestration, SAP Single Sign On, SAP Information Lifecycle Management, SAP Landscape Management, Project Portfolio Management SAP Data Services, SAP HANA, and SAP Document Access by Open Text. Appendix 22 also deleted software no longer needed by Clark County in the Termination section. In addition, Amendment No. 11 added appendix 23 to the agreement providing for additional SAP Cloud Services.
Amendment No. 12 added appendix 24, which adds/increase the following SAP Cloud Services: SAP SFSF Advanced Learning Package, SAP SFSF Performance and Goals, SAP SFSF Learning Content Storage, and SAP SFSF Learning Functional Use.
Amendment No. 13 added appendix 25 that allows SAP Success Factors Learning Module to be migrated to SAP NS2 SF secure cloud environment, also known as NS2 SF Commercial Regulated Environment.
Amendment No. 14 added Order Form 24 (a), extending Product end dates for SAP Cloud Services.
Amendment No. 15 added Order Form 26, renewing the SAP Cloud Platform and replacing the general terms and conditions for Cloud Services (Amendment 11, appendix 23).
Amendment No. 16 added Order form 27, which renews the SAP Success Factors Learning Modules.
Amendment No. 17 amended Order Form 26 (Amendment 15) for SAP Cloud Services by adding additional Test Tenant Licenses.
Approval of Amendment No. 18 will add Order Form 28, converting/adding the OCR option for SAP Information Capture by OpenText and removes SAP Invoice Management by OpenText, modifying appendices 17 and 20. The attached Amendment No. 18 document details the modifications and costs involved.
SAP Public Services, Inc. (LBE) currently holds a Clark County Vendor Registration.
