BACKGROUND: 

On June 15, 2004, the Board of County Commissioners approved a revocable license and maintenance agreement among Clark County, Mountains Edge L.L.C. and Mountains Edge Master Association permitting the construction and maintenance of non-standard improvements in the County's rights-of-way within the master plan community of Mountains Edge ("Revocable License").

Richmond American Homes of Nevada, Inc. has entered into a purchase and sale agreement with Blue Rain Partners L.L.C. and Ramak Roohani for Assessor's Parcel Numbers 176-22-601-026, 176-22-601-031, 176-22-601-032, 176-22-701-001, 176-22-701-030 and 176-22-701-034 ("Property"). The Property is currently encumbered by the Revocable License. The County has the exclusive right to revoke the Revocable License. This Agreement excludes the Property from the obligations of the Revocable License.

The District Attorney's Office has reviewed and approved the Agreement as to form.
