BACKGROUND:

The Clark County Department of Aviation (DOA) has an existing Amended and Restated Lease Agreement (Agreement) with Signature Flight Support LLC (Company), to operate as a Fixed Based Operator at Harry Reid International Airport (Airport).

This Third Amendment (Amendment) to the Agreement modifies the premises, allows for the ability to issue Space Use Letters for future modifications of the premises, and updates the rents and fees payable to DOA to reflect the updated premises.

Company will, at its own expense, construct a facility to accommodate large charter aircraft capable of supporting aviation activity related to special events including accommodation of professional sports teams. The reimbursement amount will not exceed $5,850,000.00, with a 10% contingency. Upon construction completion, the CBP facility will be owned by the DOA. This project will bring a world class general aviation CBP and charter facility to the Airport.

The reimbursement is in accordance with NRS 496.090, as the new CBP General Aviation Screening Facility will be a beneficial improvement to the Airport. This Amendment has been executed by an authorized representative of Company and approved as to form by the District Attorney's Office. Company currently holds a Clark County Business License.
