BACKGROUND:
On August 10, 2023, in accordance with the NRS 332 Resolution approved by the Board of County Commissioners (Board), the Department of Finance, Purchasing and Contracts Division approved the award of CBE No. 606754-23 to Quisitive LLC (LBE) in the amount of $999,328 for a Master Services Agreement (MSA) for Data Estate Modernization.
This Contract is for data migration and consulting services for IT Department's data modernization project for Department of Family Services and Juvenile Justice Services. Milestones included the configuration and provisioning of two software environment as well as the modeling, creation, and migration of data.
The following are the pertinent provisions of the Contract:
• The term of the Contract was from August 10, 2023 through March 30, 2025.
• Amendment No.1 extended the term of the Contract through March 30, 2026.
• Included the County’s option to terminate for cause, convenience or default and suspend the Contract with advanced written notice.
In February 2026, IT Department requested to exercise a termination for convenience for the Data Estate Modernization project. At that time, 4 of 7 Milestones were completed, invoiced, and paid in the total amount of $521,284. Due to delivery and quality concerns, IT no longer wished for Quisitive to continue work on the project.
Quisitive made progress on Milestones 5 through 7 and both parties engaged in good faith discussions to determine progress and associated payment to execute a termination for convenience.
While negotiations for a closeout determination on progress and payments continued, the MSA expired on March 30, 2026 transitioning the discussion from a termination for convenience consideration to a settlement negotiation. After several technical audits, reviews, and discussions between parties, the County made a settlement offer and Quisitive accepted.
Parties agree that Milestone 5 will be paid in the amount of $204,769.25 at 87.5% completion; Milestone 6 will be paid in the amount of $117,011 at 50% completion; and Milestone 7 will be paid in the amount of $5,000 at 50% completion.
Pursuant to the approval of the Settlement Agreement, all work under the MSA will be considered closed, and the department will utilize internal staff to complete the outstanding data modeling and reporting work.
