BACKGROUND:
The District utilizes card processing and treasury management services to support its banking initiatives by allowing customers to pay for services through web-based payment portals, and Point-of-Sale (POS) processing systems, including interactive voice response systems, over- the-counter (card swipe) terminals, and mobile computing devices. The District is currently under contracts with Wells Fargo for these services via a joinder of a contract negotiated by the State of Nevada, but these contracts have staggered terms with different expiration dates. The District seeks a direct contract with Wells Fargo to rectify the administrative uncertainties that result from a joinder of another entity’s contract and to rectify the administrative complications of staggered terms and differing expiration dates.
Staff recommends that the Board approve and authorize the General Manager to sign professional services agreements with Wells Fargo Merchant Services LLC and Wells Fargo Bank, N.A. to provide card processing services and treasury management services on an as needed basis. Staff will submit an annual report to the Board detailing incurred expenditures.
The following are pertinent provisions of the agreement:
• The term of the agreement is from March 1, 2023 and will continue for as long as the competitive bidding exception applies; and
• The agreement includes the option to terminate or suspend for cause or convenience with advance written notice of intent.
In accordance with District Resolution No. 22-003, Article I: B.2.(k), the competitive bidding process is not required because contracts with established accounts pertaining to banking/financial institutions to include credit, procurement, fuel cards and/or cellular, telecommunication, and internet providers are determined to be exempt from the competitive bidding process by the District's Board of Trustees. Wells Fargo (LBE) currently holds a Clark County business license.
