BACKGROUND: 

The Clark County Department of Aviation (DOA) has an existing Concession Lease Agreement (Agreement) with First Class Vending, Inc. (Company), for the operation of automated snack and beverage units at Harry Reid International Airport.

This First Amendment (Amendment) to the Agreement adds definitions to include the operation of new vending unit concepts, which includes an automated concept based on Amazon Go technology. The Construction of Tenant Improvements, Facilities, Maintenance, and Repair - Company, and Assignment sections have been updated to the DOA's latest standard language. Additionally, the rent section has been updated to cover the different percentage rates as follows:

Traditional Vending units:
     • Fifty-eight and two tenths percent (58.2%) of gross revenue on public units
     • Twelve percent (12%) of gross revenue on non-public units (in employee areas)

Frictionless Vending units:
     • Twenty percent (20%) of gross revenue

This Amendment has been executed by an authorized representative of Company approved as to form by the District Attorney's Office. Company currently holds a Clark County Business License.
