Academic Health Center Master Affiliation Agreement

UMC will receive a partial offset through the Centers for Medicare and Medicaid Services (CMS) for the Federal Resident Program. Expenses are accounted for in the FY 2027 UMC Budget.

 

BACKGROUND: 


Since 2016, UMC and UNLV School of Medicine have been operating under a Preliminary Affiliation Agreement. This request is to approve the Academic Health Center Master Affiliation Agreement (“Agreement”) with UNLV School of Medicine for the shared development of a premier academic health center. The Agreement replaces the 2016 preliminary affiliation with a durable, enforceable agreement, establishes UMC and the UNLV School of Medicine as exclusive Academic Health Center partners, and locks in governance, financial controls, and dispute-resolution terms to support long-term stability.

The initial term of this Agreement is for five (5) years and will automatically renew for three (3) additional five (5) year periods, unless either party provides notice of termination. Either party may terminate at the end of the initial term by providing six (6) months’ notice prior to the new academic year. Schedule 1 to the Agreement lists the funding for professional services and academic mission support, which the parties will amend annually before the commencement of each academic year. For the 2026-2027 academic year, UMC will provide $4.2m in academic mission support and $17.1m in resident/fellow salaries.

The parties are authorized to enter into this Agreement pursuant to (1) Article 11, Section 4 of the Constitution of the State of Nevada, (2) Chapters 396, 450, and 277 of the Nevada Revised Statutes, and (3) certain other inherent, express, and necessarily implied powers and authority.

This Agreement was reviewed by the Governing Board at their April 29, 2026 meeting and recommended for approval by the Board of Hospital Trustees.
