BACKGROUND:
On October 9, 2023, in accordance with the NRS 332 Resolution approved by the Board of County Commissioners (Board), the Department of Finance, Purchasing and Contracts Division approved the award of CBE No. 606636-23 to Caleden Capital LLC dba Club Z In-Home Tutoring (Club Z) (NBE) in the amount of $625,000 for ClubZ Tutoring.
This Contract is for in-home or virtual tutoring services; homework assistance, learning style assessments and time management/self-management for Truancy Prevention Outreach Program (TPOP) youth struggling with academics and attendance.
The following are the pertinent provisions of the Contract:
• The term of the Contract was from date of award through June 30, 2024 and included the option to renew for 4, one-year periods.
• Included the option to increase the award amount up to 3% for possible price increases for renewal terms.
• Included the County’s option to terminate for cause, convenience or default and suspend the Contract with advanced written notice.
On February 26, 2024 - County attempted to verify if services began for two (2) students whose referrals were sent January 23, 2024. County received a response on February 27th from Club Z stating they were unable to hire someone in the area due to recruiting issues. On February 28th, County requested to close the two referrals.
On March 4, 2024 - an email was sent requesting an update to the 13 student referrals. County did not receive a response.
On April 10, 2024 - County requested availability to go over referrals and feedback. County did not receive a response.
On April 18, 2024 - County sent an email and wanted to confirm the phone conversation that Club Z would be selling the business. County did not receive a response.
On May 6, 2024 - Club Z requested to terminate the Contract because they are unable to render services.
On May 21, 2024, the Purchasing and Contracts Division issued a Notice of Intent to Terminate Contract for Cause and Notice of Meeting to Consider Administrative Action, by certified letter giving the minimum 21 working days’ notice. This letter stipulated that the Contract would be terminated effective July 2, 2024, subject to the Board's approval. Staff recommends that the Board terminate the Contract with Caleden Capital LLC dba Club Z In-Home Tutoring Las Vegas.
This action is in accordance with Page 4, Section IX, Suspension and Termination, Letter B, Termination.
