BACKGROUND: 

In accordance with NRS 277.180, the parties are authorized to enter into interlocal contracts to perform governmental functions and activities. This agreement will provide the terms and conditions for the County to provide administrative services to the Nonprofit as determined and mutually agreed to by the Nonprofit.
                     
The following are the pertinent provisions of the Agreement:
                     The County will act as fiscal agent for the Nonprofit and create and maintain financial accounts to                      account for the Nonprofit's operating, capital and grant funds and provide daily accounting, budgeting,                      and financial reporting services.
                     The County will provide routine legal representation and counsel through the Office of the District                      Attorney.
                     The Treasurer will maintain records of money received and disbursed by the Nonprofit, maintain bank                      accounts, and invest in appropriate financial instruments within the Clark County Treasurer Investment                      Pool.
                     The Nonprofit's funds will be held in a County-administered special revenue fund or other appropriate                      account, incorporated within the Clark County Treasurer's Investment Pool, and used exclusively for                      purposes authorized by the Nonprofit's Board.
                     The Nonprofit Board, composed of the Board of County Commissioners, retain authority over all                      discretionary decisions related to donations and distributions.

The agreement will be subject to the laws of the State of Nevada. The parties agree that throughout the term of this agreement they will comply with applicable laws including State and local laws, ordinances, and rules and regulations applicable to the services typically performed.
