BACKGROUND:
The Las Vegas Stadium Authority Board of Directors (Board of Directors) manages the Las Vegas Stadium Authority (Stadium Authority). The Stadium Authority is responsible for the ownership and oversight of the National Football League (NFL) stadium project created by Senate Bill (S.B.) 1 of the 30th Special Session of the Nevada Legislature. The Stadium Authority's roles and responsibilities include owning and overseeing the stadiums and land, managing the coverage waterfall revenue distribution, and managing the capital improvement funds and related expenditures for the stadiums.
S.B. 1 of the 35th Special Session of the Nevada Legislature enacted the Southern Nevada Tourism Improvement Act that authorizes the Stadium Authority to exercise powers related to a Major League Baseball (MLB) stadium project.
The County Commission makes appointments to the Board of Directors. Thomas White is currently serving on the Board of Directors, and his current term of four-years will expire on January 1, 2024.
The County Commission is also required to make an appointment to the Board of Directors from a list of nominees submitted by the two (2) companies that own or manage the businesses in the county which in the aggregate generate the greatest amount of taxes on the rental of transient lodging in the county. Those two (2) companies are MGM Resorts International and Caesars Entertainment. Steve Zanella is the MGM Resorts International appointee and was appointed by the Nevada Governor. The County Commission will need to appoint from the list of nominees submitted by Caesars Entertainment.
Currently, Jan Jones Blackhurst is serving on the Board of Directors. She was initially selected and subsequently reselected off of the list of nominees submitted by Caesars Entertainment. Her current term of four-years will expire on January 1, 2024. Caesars Entertainment has recommended the reappointment of Jan Jones Blackhurst. A copy of the letter from Caesars Entertainment recommending the reappointment is attached to this agenda item.
To be a member of the Board of Directors, a member must reside within the boundaries of the Stadium District. The Stadium District is composed of the area within a 25-mile radius of the Clark County Government Center located at 500 S. Grand Central Parkway, Las Vegas.
Each member of the Board of Directors also must:
• Have experience in the design, engineering, and construction of major commercial projects and estimating
the costs of the construction of major commercial projects;
• Have experience in the financing of capital projects in Nevada;
• Have experience in the field of stadium, arena, or event management;
• Have experience in workforce development, training, diversity, or supplier engagement; or
• Be a representative of the private sector and have the education, experience, and skills necessary to
effectively execute the duties and responsibilities of the Board of Directors.
A member of the Board of Directors also may not be employed by the same person as another member of the Board of Directors or by an affiliate of such a person.
Staff has received applications from those interested in serving on the Board of Directors. Staff is requesting that the County Commission appointed a qualified individual to serve on the Board of Directors for a four-year term commencing January 1, 2024. Moreover, staff is requesting that the County Commission reappoint Jan Jones Blackhurst to her seat on the Board of Directors. Her new term will also commence January 1, 2024.
