BACKGROUND:

On December 24, 2014, in accordance with the NRS 332 Resolution approved by the Board of County Commissioners (Board), the Department of Finance, Purchasing and Contracts Division approved the award of CBE No. 603557-14 to OpenText (LBE) in the amount of up to $500,000 for software licenses.

This Contract is for software licenses and services with OpenText (LBE).

The following are the pertinent provisions of the Contract:
•
The term of the Contract was from December 24, 2014, through when the department no longer needs the                      software.
•
Either party may terminate this agreement for material breach by written notice, effective 10 days after                      notice unless the other party first cures the breach.

A revised Fiscal Directive No. 6, Competitive Bidding Exception, was approved for continuity of the services and products to sustain the County's environment.

This approval will provide for additional funding for continuity of the product and services for the next five years.

The Business License Department has determined that a Clark County Business License is not required for this effort.
