BACKGROUND: 

On December 28, 1990, Kern River Gas Transmission Company ("Kern River"), a Delaware corporation, also the Grantee, was issued the right, pursuant to Bureau of Land Management ("BLM") Grant CA-17918, to construct, operate, and maintain an interstate natural gas pipeline and related facilities on then public lands which is now Assessor's Parcel Number 124-19-899-004.  This grant expired 30 years after being issued.

Clark County, also the Grantor, is the owner of record of Assessor's Parcel Number 124-19-899-004, which was dedicated as Northern Clark County 215 Bruce Woodbury Beltway on April 30, 2004, being a portion of BLM Land Patent 27-2002-0015 dated January 7, 2002.  This land patent is subject to valid and existing rights, encumbering the County's Beltway parcel with aforementioned Grant CA-17918 and existing pipeline facilities.

Kern River desires to retain an easement and the County desires to convey to Kern River a non-exclusive permanent easement on the Beltway parcel.  The attached grant of non-exclusive permanent easement grants an easement to Kern River and describes additional terms and conditions as they relate to both the County and Kern River.

The District Attorney's Office has reviewed and approved the grant of non-exclusive permanent easement as to form.
